Welcome to Maya. These Terms of Service ("Terms") govern your use of Maya's services and are written in plain English so they are easy to understand.
How the legal framework works: If you are using the maya.markets website, your use is governed by the website usage guidelines. Each time you use Maya (by texting, messaging, or chatting), you are agreeing to these Terms, which incorporate all other agreements by reference. You are agreeing to all of them, but certain terms may not apply to you. For example, if you are located in a different country, that country's Jurisdiction Specific Terms override specific clauses in the other agreements. The one exception to this structure is the Privacy Policy, which is kept separately prominent because many governing bodies require it to be clearly accessible on its own. The goal is to keep things simple: using Maya means agreeing to these Terms, and these Terms include the other agreements, all of which are available here.
Quick summary: Maya is an AI-powered personal shopping advocate. Maya sells products directly to members, and sells pricing recommendation reports. Some pricing recommendations may be available at no charge; see Product Specific Terms for current fees. US members: disputes go to arbitration with a class action waiver (Section 18). Non-US members: see your Jurisdiction Specific Terms.
This agreement includes the following documents:
- These General Terms: the core terms governing your use of Maya;
- Product Specific Terms: fees and mechanics for each service;
- Membership Terms: how the membership program works, points, tiers, and discounts;
- Jurisdiction Specific Terms: additional terms based on your location, including governing law and any local consumer rights;
- Privacy Policy: how Maya collects and uses your data;
- Messaging Terms: terms specific to Maya's messaging program;
- AI Processing Policy: how Maya uses AI and your rights.
In the event of any conflict, the order of precedence is: Jurisdiction Specific Terms, then Product Specific Terms, then these General Terms.
1. Who Maya Is
Maya Verdant, LLC ("Maya") operates an AI-powered personal shopping advocate service. Maya's primary interfaces are SMS text messaging and supported messaging channels, accessible at +1 (800) 629-2658. Maya also operates the websites at maya.markets and associated subdomains.
When these Terms refer to "Maya," they refer to Maya Verdant, LLC, a legally registered limited liability company. Maya is an AI concierge, but the legal entity you are contracting with is Maya Verdant, LLC.
There is no charge for using Maya as an AI concierge. However, Maya may present products for purchase directly from Maya, or charge a fee for a pricing recommendation report before sharing it. See Section 11 and the Product Specific Terms for details.
2. Accepting These Terms
You accept these Terms when you:
- Text or message Maya through any supported messaging channel;
- Create an account or register on any Maya website;
- Use any Maya product or service.
You must be at least 18 years old to use Maya. By accepting, you confirm you meet this requirement.
If you are using Maya on behalf of a business, you confirm you have authority to bind that business to these Terms.
A person who uses the web chat or website without registering is a "website user," not a member. Membership begins when you opt in for the first time by providing your contact information and accepting these Terms through a supported channel. See the Membership Terms for full details on how membership works.
3. What Maya Does
Maya is a personal shopping advocate that operates in two commercial modes depending on the service.
Direct commerce: Maya acts as the merchant. Maya purchases products from you and sells products to you. In these transactions, Maya is the buyer or seller and you have the rights of a customer purchasing from a retailer.
Pricing recommendation reports: Maya sells reports containing pricing analysis and recommendations. These are information products. Maya charges a fee for the report, which is collected before the report is shared with you.
Across all services, Maya:
- Uses AI to analyze your needs and find better deals;
- Monitors available pricing data and proactively identifies savings opportunities;
- Handles logistics for direct transactions.
What Maya does not do regardless of service type:
- Act as your legal, financial, or professional advisor;
- Make purchases or sign up for services on your behalf without your explicit approval;
- Guarantee any specific outcome, price, or availability.
Maya is a community aggregator. Pricing data in Maya's reports comes from members' submitted receipts and price-sharing contributions, not directly from retailers or their systems. Because this data is submitted by consumers rather than sourced directly from retailers, prices in reports may not be 100% accurate. Members are paying for the collection and organization of pricing data, not for a guarantee of accuracy. Members can submit their own receipts to help improve the data for everyone in the community.
Maya works for the member, not for companies. Maya is not paid by brands, retailers, or manufacturers to promote or recommend their products. The member chooses what to look for; Maya finds it on the open market. Maya may in the future enter into business development relationships with companies. Any such relationship will be disclosed. 4. Messaging Consent and Communications
Read this section if you message Maya through any channel. It is important.
By messaging Maya or providing your contact information to receive messages from Maya, you expressly consent to receive messages from Maya Verdant, LLC through supported messaging channels, including:
- Service messages and confirmations;
- Deal alerts and recommendations;
- Account-related notifications.
Message frequency varies based on your usage and available deals. Standard message and data rates from your carrier may apply for SMS.
To opt out: Reply STOP to any Maya message. You will receive one confirmation, then no further messages. You can re-subscribe at any time by texting START.
For help: Reply HELP or email [email protected].
Opting out of messaging stops Maya's messages but does not delete your account or data. See the Privacy Policy for data deletion requests.
Maya uses one or more messaging service providers, which may include SMS carriers, VoIP platforms, and communications APIs, depending on your location and channel. A current list of messaging service providers may be obtained by contacting [email protected]. Your carrier is not responsible for delayed or undelivered messages.
TCPA Compliance: Your consent to receive messages is not a condition of purchasing any product or service. You can use Maya's website and other non-messaging channels without opting into messaging communications.
5. Your Account
Maya creates a member profile tied to your contact information. You agree to:
- Provide accurate information when asked (name, address, product details, preferences);
- Keep your contact information current;
- Keep your account access personal; do not let others use your Maya session.
Maya reserves the right to suspend or close accounts that are inactive, used fraudulently, or in violation of these Terms.
6. Maya's Services
For a description of specific services, fees, and mechanics for each product and service category, see the Product Specific Terms.
7. Maya as Seller vs. Maya as Facilitator
When Maya is the seller of a product, Maya will present you with a link to purchase the product. The checkout page will list what is being purchased, including all applicable fees. You are transacting directly with Maya Verdant, LLC.
When Maya is selling a pricing recommendation report, Maya will present you with a link to purchase the report. The checkout page will list the report being purchased and the fee. The fee is collected before the report is shared with you.
Direct commerce guarantee: When Maya quotes you a price for a product Maya is purchasing from you, that price is guaranteed as long as your description of the product matches the information the quote was based on.
Third-party facilitation: Maya may also facilitate transactions where a third party is the buyer or seller. When Maya is facilitating a transaction between you and a third party, Maya has no involvement in that transaction whatsoever. Maya cannot guarantee a third party's pricing even if the product matches the description you provided. The third party is solely responsible for their offer, payment, and fulfillment.
In all cases, Maya does not act as your legal, financial, or professional advisor. Maya's recommendations are suggestions based on available data and do not substitute for your own judgment.
8. AI Processing Disclosure
Maya uses artificial intelligence, including large language models, to understand your messages, personalize your experience, and generate recommendations.
You acknowledge and agree that:
- AI-generated content may contain errors, omissions, or outdated information;
- AI recommendations are not professional advice of any kind;
- Maya cannot guarantee the accuracy, completeness, or suitability of AI-generated output;
- Conversations with Maya are processed by AI systems that may retain and analyze your messages (see Privacy Policy).
By using Maya, you consent to AI processing of your communications and data as described in the Privacy Policy.
9. Third-Party Vendors
Maya may refer you to third-party vendors, carriers, retailers, lenders, and other service providers. Maya has no control over these parties and is not responsible for:
- Their pricing, product quality, availability, or service;
- Any transaction you complete with them;
- Their privacy practices, data handling, or terms of service;
- Any dispute arising from a transaction with them;
- Errors in the information they provide to Maya.
Links and referrals to third-party services are provided for your convenience. They do not constitute Maya's endorsement of those parties. Always review a vendor's own terms and privacy policy before making a purchase or signing up.
10. BNPL and Financing Facilitation
Maya may facilitate access to buy-now-pay-later (BNPL) or short-term financing options in connection with purchases. Maya acts as a referral intermediary only. Maya is not a lender and does not make or approve financing decisions.
Financing offers are made by third-party lenders under their own terms, credit requirements, and applicable lending laws. If you access financing through Maya:
- Approval and terms are entirely at the lender's discretion;
- You are solely responsible for all payment obligations, interest, and fees under the financing agreement;
- Maya is not liable for any financing arrangement between you and a lender;
- BNPL availability varies by location and transaction type.
11. How Maya Earns Revenue
Maya earns revenue in two ways. Maya is transparent about this because it matters that you understand Maya's incentives.
Sale of products (direct commerce): When Maya sells you a product, the price you pay is the all-in price. It includes a service fee. There is no separate additional fee. You do not pay more than the stated price.
Sale of pricing recommendation reports: Maya charges a fee for pricing recommendation reports. The fee is collected before the report is shared with you. The fee is disclosed and confirmed before you are charged. You are never charged without explicit confirmation.
Specific fees for each product and service are in the Product Specific Terms. Some pricing recommendations may be available at no charge; see Product Specific Terms for current details.
Maya works for the member, not for companies. Maya is not paid by brands, retailers, or manufacturers to promote or recommend their products. The member chooses what to look for; Maya finds it on the open market. Membership discounts: Maya has a membership program with tiers that enable members to receive discounts on purchases. Discounts may, for high-status members on certain products, reduce the price to zero. See the Membership Terms for full details.
12. Acceptable Use
You agree to use Maya only for lawful, personal, non-commercial purposes. You may not:
- Provide false, misleading, or fraudulent information to Maya or through Maya to vendors;
- Use Maya to harass, harm, or deceive other people;
- Use Maya commercially without Maya's written permission;
- Repeatedly trigger messaging keywords (STOP, START, HELP) in bad faith;
- Attempt to gain unauthorized access to Maya's systems or other users' accounts;
- Use automated tools to interact with Maya without permission.
You may not use Maya to:
- Reverse engineer, copy, harvest, or replicate Maya's pricing data, AI models, or community intelligence;
- Price-scrape Maya's data to build competing price aggregation systems;
- Use Maya's pricing data to influence, manipulate, deflate, or inflate market pricing;
- Destabilize competitor pricing or attempt to harm competitors through Maya's platform;
- Simulate purchases or trade-in inquiries for the purpose of extracting pricing intelligence (this means pretending to transact in order to acquire pricing data without any intent to complete the transaction);
- Use Maya's data to justify political legislation or regulatory action;
- Falsify or attempt to influence pricing trends on Maya's platform;
- Rank or benchmark prices outside Maya's platform using Maya's proprietary data;
- Acquire market share from competitors using intelligence extracted from Maya's platform;
- Engage in any form of automated data extraction without Maya's express written consent.
Violating these rules may result in suspension or permanent termination of your access.
13. Intellectual Property
All content, trademarks, software, and technology on Maya's websites and in Maya's services belong to Maya Verdant, LLC or its licensors. Your use of Maya's services does not give you any ownership rights.
The pricing recommendation reports distributed through Maya's platform incorporate intellectual property licensed to Maya Verdant, LLC by an external IP holder. All rights in those reports are reserved.
You may use Maya's services for personal, non-commercial purposes. You may not copy, modify, distribute, or create derivative works from any part of Maya's services without Maya's written permission.
If you believe your copyrighted work has been used on Maya's site without authorization, contact [email protected]. See the Website Terms for full DMCA procedures.
14. Privacy
Maya's Privacy Policy explains what personal information Maya collects, how it is used, and your rights. By using Maya, you agree to the Privacy Policy, which is incorporated into these Terms by reference.
15. Disclaimers of Warranty
For pricing recommendation reports and advisory services, these services are provided "as is" and "as available." To the fullest extent permitted by applicable law, Maya disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Recommendations reflect information available when generated; prices and availability can change before you act. Maya does not warrant the accuracy of community-submitted pricing data.
For direct commerce transactions, Maya warrants that:
- Products sold are functional and match the described condition at time of shipment;
- If a product does not meet these standards, Maya will replace it or issue a full refund as described in the Product Specific Terms.
These direct commerce warranties are in addition to any non-waivable statutory warranties in your jurisdiction.
Maya does not warrant that:
- AI-generated recommendations are always accurate or optimal for your situation;
- Third-party vendors' prices or service terms will remain as shown at the time of recommendation;
- Maya's services will be uninterrupted or error-free at all times.
Some jurisdictions do not allow certain warranty disclaimers. In those places, Maya's disclaimers apply to the maximum extent permitted by law.
16. Limitation of Liability
To the fullest extent permitted by applicable law, Maya Verdant, LLC and its officers, directors, employees, agents, and affiliates will not be liable for:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, data, savings, or business opportunity;
- Damages arising from your reliance on Maya's recommendations or AI-generated content;
- Any transaction with a third-party vendor referred by Maya;
- Service interruptions, downtime, or loss of access to Maya;
- Errors in AI-generated recommendations or pricing comparisons;
- Inaccuracies in community-submitted pricing data.
In all cases, Maya's total cumulative liability to you will not exceed the greater of: (a) fees you actually paid to Maya in the 12 months before the claim arose, or (b) one hundred dollars ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply only to the fullest extent permitted by law.
17. Indemnification
You agree to defend, indemnify, and hold harmless Maya Verdant, LLC and its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of Maya's services;
- Your violation of these Terms;
- Your violation of any third party's rights;
- Any transaction you enter into with a third-party vendor;
- Any false or inaccurate information you provide to Maya.
18. Mandatory Arbitration and Class Action Waiver
This section significantly affects your legal rights. Please read it carefully.
Scope: This Section 18 applies to members located in the United States. If you are located outside the United States, the dispute resolution terms in your Jurisdiction Specific Terms apply instead. In jurisdictions where mandatory arbitration or class action waivers are unenforceable under consumer protection law, this section does not apply to those disputes.
18.1 Agreement to Arbitrate
You and Maya Verdant, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, Maya's services, or the relationship between the parties, including any question about whether a dispute is subject to arbitration, will be resolved exclusively by binding individual arbitration, not in court.
This arbitration agreement is governed by the Federal Arbitration Act (FAA), which applies regardless of any state law to the contrary.
18.2 Arbitration Rules and Process
Maya Verdant, LLC reserves the right to select the arbitral body and arbitrator from a list of qualified, independent arbitrators. The opposing party may object to the selected arbitrator for cause by submitting a written objection within 10 days of notice of arbitrator selection. If no timely objection is raised, the selected arbitrator is confirmed.
Arbitration will otherwise be conducted under the Consumer Arbitration Rules of the selected arbitral body (or, if no arbitral body has been designated by Maya, the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at adr.org).
Unless you and Maya agree otherwise, arbitration will take place in the county where you reside or by phone or video conference. The arbitrator may award any relief available in court on an individual basis. The arbitrator's decision is final and binding, subject to limited judicial review under the FAA.
Costs: Maya will pay filing and administrative fees for arbitrations where your claim is $10,000 or less, unless the arbitrator finds your claim frivolous. For claims over $10,000, cost-sharing follows the applicable Consumer Rules.
18.3 Class Action Waiver
You and Maya each waive the right to bring or participate in any class action, collective action, mass arbitration, private attorney general action, or other representative proceeding, whether in court or arbitration.
The arbitrator may not consolidate claims from more than one person or preside over any representative or class proceeding.
If the class action waiver is found unenforceable for any particular claim, that claim may proceed in court, but all other claims remain subject to individual arbitration.
18.4 Small Claims Exception
Either party may bring an individual claim in small claims court instead of arbitration, as long as the matter stays in small claims court and is brought only as an individual (not class) action.
18.5 Injunctive Relief Exception
Nothing in this section prevents either party from seeking emergency injunctive or equitable relief in court to prevent irreparable harm while arbitration proceeds.
18.6 Opt-Out Right
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected] with the subject line "Arbitration Opt-Out" and including your name and phone number. Opting out does not affect your right to use Maya's services.
If you opt out, disputes will be resolved in the courts described in Section 19.
19. Governing Law and Jurisdiction
The governing law, contracting entity, and jurisdiction for disputes depend on your location. See your Jurisdiction Specific Terms.
Default (United States): If no other jurisdiction-specific terms apply to you, these Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles, except that the Federal Arbitration Act governs Section 18. For matters not subject to arbitration, you consent to the exclusive jurisdiction of state and federal courts in Delaware.
20. Changes to These Terms
Maya may update these Terms from time to time. When updated, Maya will update the "Last Updated" date at the top. For material changes, Maya will give you advance notice via messaging or email where practicable.
Your continued use of Maya after updated Terms take effect means you accept the changes. If you do not agree with changes, you can stop using Maya and request account deletion at [email protected].
21. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy and any applicable Product Specific Terms and Membership Terms, are the complete agreement between you and Maya about Maya's services.
Severability: If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and all remaining provisions continue in full force.
No Waiver: Maya's failure to enforce any provision does not waive the right to enforce it later.
Assignment: Maya may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets. You may not assign your rights under these Terms without Maya's written consent.
No Third-Party Beneficiaries: These Terms are for the benefit of you and Maya only. No third party has any rights under these Terms.
